WATCH PARTY AT ARTIC

TICKET TERMS AND CONDITIONS

These Ticket Terms and Conditions (“Terms”) govern the purchase, acceptance, use, and attendance of any ticket issued for the watch party event identified at checkout, on the ticket confirmation, or otherwise communicated by OC Sports & Entertainment, LLC (“OCSE,” “Organizer,” “Company,” “we,” “our,” or “us”) (the “Event”). Tickets may be sold or distributed through Universe, a Ticketmaster company (“Universe”). By purchasing, accepting, using, or attending the Event with a ticket, each ticket holder, attendee, guest, and accompanying minor (collectively, “Ticket Holder” or “you”) agrees to be bound by: (a) these Terms; (b) the applicable Universe Terms of Use located at https://www.universe.com/terms; and (c) all applicable venue rules, policies, and procedures. In the event of a conflict between these Terms and the Universe Terms of Use, these Terms shall control solely with respect to Event-specific operational matters, venue conduct, releases, assumption of risk, likeness rights, and related Event attendance matters, and the Universe Terms of Use shall otherwise control with respect to the ticketing platform and transaction processing services.

LICENSE; ADMISSION RIGHTS

(a) Revocable License. A valid ticket constitutes a limited, revocable license to attend the Event at the date, time, and location specified by OCSE, subject to these Terms, all applicable laws, venue policies, security procedures, and instructions issued by OCSE, ARTIC personnel, event staff, law enforcement, or public safety officials.

(b) Admission Conditions. Admission to the Event is conditioned upon compliance with all applicable rules, policies, and procedures, including bag checks, metal detector screenings, prohibited item policies, crowd management procedures, age restrictions, and health and safety protocols. OCSE reserves the right, in its sole discretion, to deny admission to, revoke admission for, or remove any person whose conduct is deemed unsafe, disruptive, unlawful, intoxicated, disorderly, or otherwise inconsistent with the Event experience, venue rules, or applicable law, without refund or compensation.

(c) Compliance with Venue Rules. You agree to comply with all applicable rules, regulations, policies, and operational procedures of ARTIC, the City of Anaheim, OCSE, and applicable event operators, including all posted signage and directions from event staff.

(d) No Resale or Commercial Use. Tickets may not be resold, transferred for value, used in contests, sweepstakes, promotions, commercial advertising, or other commercial purposes without the prior written consent of OCSE.

(e) Organizer is not responsible for lost, stolen, damaged, or destroyed tickets or for tickets claimed by another individual using electronic delivery credentials.

ALL SALES FINAL; EVENT CHANGES

(a) Final Sale. All ticket sales are final. Except as otherwise required by applicable law, required by Universe policies applicable to the ticket transaction, or expressly determined by OCSE in its sole discretion, all ticket sales are final and tickets are non-refundable, non-transferable, and non-exchangeable.

(b) Event Modifications. OCSE reserves the right to modify the Event, including the date, start time, duration, programming, entertainment, seating configuration, venue access points, amenities, food and beverage offerings, sponsor activations, or other Event components at any time.

(c) Cancellation; Force Majeure. OCSE shall not be liable for any cancellation, postponement, delay, interruption, or modification of the Event resulting from causes beyond its reasonable control, including weather, acts of God, governmental action, public health concerns, labor disputes, utility failures, terrorism threats, civil unrest, broadcast interruptions, transportation disruptions, venue damage, or other force majeure events. In the event of cancellation or modification, OCSE may determine any refund, credit, or replacement policy in its sole discretion.

(d) Capacity Restrictions. Admission is subject to venue occupancy limits, fire code restrictions, and operational requirements. Entry is not guaranteed merely because a ticket has been issued. OCSE reserves the right to restrict or stagger entry, temporarily pause admission, or otherwise manage attendance for operational or safety purposes.

ASSUMPTION OF RISK; RELEASE OF LIABILITY

(a) Assumption of Risk. Attendance at the Event involves inherent risks, dangers, and hazards that may result in personal injury, illness, property damage, death, or other losses. Such risks may include, without limitation, slips, trips, falls, crowd-related incidents, negligent acts of other attendees, exposure to loud noises, lighting effects, food allergens, communicable diseases, intoxicated persons, weather conditions, security incidents, and the general risks associated with public gatherings.

(b) Voluntary Participation. You knowingly and voluntarily assume all risks, known and unknown, foreseeable and unforeseeable, arising out of or relating in any way to the Event, attendance at the venue, ingress to and egress from the venue, participation in activities, and interaction with other attendees.

(c) Release. To the fullest extent permitted by law, you, on behalf of yourself and your heirs, representatives, assigns, successors, insurers, and anyone acting on your behalf, hereby irrevocably waive, release, discharge, and covenant not to sue OCSE, Anaheim Transportation Network, ATCM, LLC, the City of Anaheim, Fédération Internationale de Football Association (“FIFA”), FIFA subsidiaries and affiliates, any FIFA-related host committee entities, Event sponsors, broadcasters, vendors, contractors, licensors, service providers, promotional partners, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, governors, shareholders, members, partners, employees, volunteers, agents, representatives, successors, and assigns (collectively, the “Released Parties”) from any and all claims, liabilities, demands, damages, losses, costs, expenses, or causes of action of any kind whatsoever, whether known or unknown, arising out of or relating to the Event, attendance at the venue, or use of the ticket, including claims arising from the negligence of any Released Party, to the fullest extent permitted by law.

(d) California Civil Code Section 1542 Waiver. You expressly waive the protections of California Civil Code Section 1542, which provides:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all third-party claims, demands, damages, liabilities, judgments, penalties, fines, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your breach of these Terms; (b) your acts, omissions, misconduct, negligence, or violation of law at or in connection with the Event; (c) your violation of any rights of any third party; or (d) any injury, damage, or loss caused by you or any minor or guest accompanying you.

RECORDINGS; PHOTOGRAPHY; LIKENESS RELEASE

(a) The Event may be photographed, filmed, livestreamed, broadcast, or otherwise recorded by OCSE, broadcasters, sponsors, media outlets, and their respective designees.

(b) By attending the Event, you irrevocably grant to OC Sports & Entertainment, LLC, ATCM, LLC, their respective affiliates, sponsors, licensees, designees, successors, and assigns the unrestricted, perpetual, worldwide, sublicensable, royalty-free right and license to photograph, film, record, capture, reproduce, distribute, display, publicly perform, edit, modify, create derivative works from, exploit, and otherwise use your name, image, likeness, voice, appearance, statements, and biographical information, in whole or in part, in any manner or media now known or later developed, for any lawful purpose whatsoever, including advertising, marketing, promotion, publicity, archival, documentary, sponsorship, social media, commercial, and other business purposes, without further notice, approval, compensation, or accounting. All photographs, videos, recordings, livestreams, broadcasts, and other content captured at the Event by or on behalf of OCSE or its designees shall remain the sole and exclusive property of OCSE and/or the applicable rights holder. OCSE reserves the right to prohibit or restrict professional photography equipment, drones, livestreaming, commercial recording activity, or other unauthorized content capture.

(c) Names, logos, and other intellectual property of Organizer, FIFA, including but not limited to any name, logo, trademark, indicia, brand name, symbol, service mark or other mark (whether registered or unregistered) or designation which may be inferred by the public as identifying with OCSE, FIFA, the World Cup competition, ARTIC, ATCM, LLC, or any other FIFA competition, may not be used without prior written permission.

PRIVACY; MARKETING COMMUNICATIONS

(a) Privacy Policy. By purchasing a ticket, registering for the Event, or attending the Event, you acknowledge that your personal information may be collected, processed, stored, and shared by OCSE and its service providers in accordance with applicable law and the applicable privacy policies, including, but not limited to the OCVIBE Privacy Policy provided below.

(b) OCVIBE Communications. In connection with Event registration and attendance, you may elect to subscribe to newsletters, promotional communications, and marketing updates relating to OCVIBE, OCSE, and affiliated events, programming, promotions, and offerings.

(c) OCVIBE Privacy Policy. Information regarding OCSE’s and OCVIBE’s data practices is available at the applicable OCVIBE privacy policy made available through the Event registration page or at OCVIBE Privacy Policy at www.ocvibe.com/privacy-policy.

(d) Third-Party Platforms. Ticket sales and registration may be processed through third-party ticketing providers and platforms, including Universe Services by Ticketmaster, and your use of such services may also be subject to their applicable terms and privacy policies.

VII. HEALTH, SAFETY, AND SECURITY

(a) Searches and Screening. You consent to reasonable security screenings, including bag inspections, wanding, magnetometer screening, and visual inspections of personal belongings.

(b) Prohibited Items. Weapons, illegal substances, outside alcohol, fireworks, laser pointers, drones, and other items prohibited by OCSE, ARTIC, or applicable law are not permitted.

(c) Removal and Confiscation. Prohibited items may be confiscated, and violators may be denied entry or removed from the Event without refund.

(d) Emergency Conditions. In the event of an emergency or evacuation, you agree to comply immediately with all instructions issued by event personnel, venue staff, emergency responders, and public officials.

MINORS

Parents and legal guardians attending with minors are solely responsible for the supervision, conduct, safety, and well-being of such minors at all times and agree to these Terms on behalf of themselves and such minors.

ARBITRATION; CLASS ACTION WAIVER

(a) Binding Arbitration. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, the Event, the ticket purchase, attendance at the Event, or any related matter shall be resolved exclusively through final and binding arbitration administered by JAMS in Orange County, California before a single arbitrator in accordance with the JAMS’ Streamlined Arbitration Rules & Procedures then in effect. The language of the arbitration shall be in English. Judgment on the award may be entered by any court having jurisdiction.

(b) Waiver of Jury Trial. YOU AND OCSE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

(c) Class Action Waiver. All disputes shall be conducted solely on an individual basis. Neither you nor OCSE shall seek to have any dispute heard as any purported class, collective, consolidated, private attorney general, or representative proceeding, and the arbitrator may not consolidate the claims of more than one person or otherwise preside over any form of representative or class proceeding.

(d) Equitable Relief. Nothing herein shall prohibit OCSE from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction. This Section shall survive termination of these Terms.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflicts of law principles.

MISCELLANEOUS

(a) Severability. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

(b) Modifications. OCSE reserves the right to modify these Terms at any time. Updated Terms may be posted on the Event webpage, ticketing platform, or otherwise communicated to attendees.

(c) Entire Agreement. These Terms, together with the ticket confirmation and any incorporated venue policies, constitute the entire agreement between OCSE and the Ticket Holder regarding the Event.

(d) Notices. Notices to You may be provided via e-mail to the address associated with the ticket purchase or through postings at the point of sale or venue. Notices to OCSE must be sent to legal@ocvibe.com.

ACKNOWLEDGMENT

BY PURCHASING, ACCEPTING, USING, OR ATTENDING THE EVENT WITH A TICKET, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO THESE TERMS, INCLUDING THE RELEASE OF LIABILITY, ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND LIKENESS RELEASE.
